Digital Service Marketing Agreement
The present service agreement (hereinafter the “AGREEMENT”) is hereby entered into BETWEEN: Laboratories of Web Marketing Solutions Inc. (hereinafter to be referred as the “Agency”) AND: (herein after to be referred as the “Company”)
For and in consideration of the mutual promises contained herein, the Company and Agency do hereby covenant, contract and agree as follows:
- AGENCY: Subject to the terms of this agreement, Company does hereby appoint Agency as its agent for the following selection and placement of Facebook advertising for .
AGENCY: Agency shall perform the following services in reference to this agreement.
- REMUNERATION / INVOICING AND PAYMENT TERMS: Company shall pay unto Agency for his or her services.
Company and agency understand that these prices reflect the current situation. New services or products offered by the Agency to the Company can be amended by mutual agreement at any time.
Agency is responsible to provide an official invoice to be paid within 5 business days after receival every business cycle.
Company and Agency agree that the agency is an independent contractor and shall pay his or her own employment, income and other taxes as well as all insurance.
Agency is solely responsible for its own sales taxes and proper remittances to authorities.
- TERM: This agreement starts from the date hereof and shall extend until services are rendered.
- MODIFICATION: This agreement may not be modified except by amendment reduced to writing and signed by both Company and Agent. No waiver of this agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof.
- CONFIDENTIALITY: The parties hereto agree that each shall treat confidentially the terms and conditions of this Agreement and all information provided by each party to the other regarding its financial institutions for means of payment.
- ENTIRE AGREEMENT: This agreement constitutes the entire agreement between the parties hereto and replaces and supersedes all prior agreements between the parties relating to this same subject matter.
- GOVERNING LAW: This agreement shall be construed in accordance with the laws of the province of Québec.
- LANGUAGE: The Parties acknowledge that they have requested and are satisfied that this Agreement and all other documents and notices related thereby to be drawn up in English.

The parties agree to be bound by the terms and provisions of this Agreement, which is intended to be effective as of the Start Date set out herein, as witnessed by their signatures below.
